of Citizens’ Association “HOLOS”

I. – Title and residence

Title of citizens’ association: “HOLOS”

Residence: Čapkova 13, 746 01 Opava 1

Association operates in the whole Czech Republic.

II. – Character of the association

HOLOS association (further just association) is voluntary non-governmental non-profit citizens’ association which has been founded according by the law No. 83/1990 Sb. about citizen’s association in the valid statutory text. The association is juridical person according by the Czech law.

III. – Objectives and forms of activity of the association

Holos  association is an association of people engaged in viewing human health from an integral point of view and applying this integral approach for the full-value life of both single individuals and families. The main goal of the association is to develop and promote the holistic approach to life with the application of up-to-date scientific knowledge.

Holos association develops and applies well-proven procedures used in therapy (focused individual and group psychotherapy, resonating system JOINT LINEâ CZ, neurotechnology, Holotropic breathworkä, bioenergetics, balneotherapy, homeopathy, art therapy, music therapy, Bach flower therapy, aromatherapy, phytotherapy, dance therapy, canistherapy, hypotherapy etc.), artistic work (culture events, seminars etc.), schooling activity (seminars, education training, lectures, edification activities etc.) and consultancy. Association also cooperates with scientific institutions, publishes and supports activities leading to harmony of man and nature, which are built on ecological principles of sustainable life (energy savings, support of eco-agro-tourism etc.).

IV. – Membership in the association

Member of the association can be physical entity older than fifteen years.

Forms of the membership:

a) Regular member – regular member become an applicant, who on the basis of written application and recommendation from other members of the association is authorized by the association board.

a1) Regular member have rights:

-          to participate on general meeting

-          to express ones opinions of activity of the association

-          to elect association board and to be elected to it

-          to actively participate on practical activities of the association

-          to be informed about activities of the association and to acquire needed publications and informative materials published by the association

a2) Regular member have duty:

-          to pay annual fee at the minimum of 100,-- Kč

-          to defend the interests of the association and do not do anything which would collide them

b) Contributor member – contributor member became an applicant who pay annual fee at the minimum of 100, -- Kč. This form of membership does not have to be authorized by the association board.

b1) Contributor member have rights:

-          to participate on general meeting

-          to express ones opinions of activity of the association

-          to actively participate on practical activities of the association

-          to be informed about activities of the association and to acquire needed publications and informative materials published by the association

b2) Contributor member have duty:

-          to pay annual fee at the minimum of 100,-- Kč

-          to defend the interests of the association and do not do anything which would collide them

-          not to act on behalf of the association without association’s foreknowledge

Membership in the association terminates:

-          by delivering written statement about withdrawing from the association to the association board

-          by death of the member of the association

-          by dissolution of the association

-          by exclusion of a member by association board, if that member despite of written monition repeatedly broke these regulations

-          by not paying annual fee at the minimum of 100,-- Kč

V. – Organizational structure

Structure of the association creates:

A)     General meeting

B)      Association board

Ad A) – General meeting

Highest authority of the association is General meeting, which is held once a year. General meeting constitutes a quorum, if at least a half of representatives of regular members is present. Regular member of the association can delegate his competence on general meeting via written authorization to another member of the association. Unless otherwise determined, the General meeting arbitrates by votes of absolute majority of present regular members. Every regular member has just one vote.

General meeting:

-          authorize Regulations and it’s changes by absolute majority of present regular members

-          elects association board which is compound of a chairman and two deputy chairmen and completes the association board, if is one of its members recalled or if he withdraw himself during the term of office

-          can recall the association board before it’s term as a whole or as individual members. In that case completes vacancies in the association board by new election.

-          decides on dissolution of the association by two-thirds majority of votes

-          by the same amount of votes as about dissolution of the association, decides as well on division of property of the association after its dissolution

General meeting is assembled by association board. Association board have an obligation to assemble an extraordinary general meeting within two months, if at least one third of regular members of the association requires it by written form on the basis of voting of its members on regular meeting.

Ad B) – Association board

Association board directs the activities of the association between general meetings. Association board is elected for five years. It consists of 3 representatives of regular members of the association – a chairman and two deputy chairmen.

Association board is responsible for its activity to the general meeting. Association board has meetings continuously as needed. It constitutes a quorum, if at least absolute majority of its elected members is present. It decides by absolute majority of votes of its present members.

Association board:

-          decides on acceptance of regular members

-          decides on exclusion of a member of the association, if the regulations were broken, a crime was committed or organizational regulations were seriously broken which led to damage to the interest and reputation of the association or another substantial damage was made

-          by written form delegates a regular member of the association to negotiations for the association

-          decides on property settlement of the association

-          approves sources of income of the association

VI. – Acting on behalf of the association

On behalf of the association acts a chairman of the association. Chairman is statutory representative of the association. Upon written authorization of the chairman of the association can any of regular members act on behalf of the association, if necessary.

VII. – Association management

For association management is responsible the association board.

Income of the association is compound of gifts, donations, grants, legacy, interest rates of bank accounts and profits from economic activities oriented on points in article III.

Expenses of the association are oriented on pursuance the objectives of the association in accordance with forms of activity of the association.

VIII. – Ways of property settlement upon dissolution of the association

In the case of dissolution of the association is its property transferred to another non-profit juridical person which objectives are similar to objectives of the association after the liquidation at no costs. It is decided by general meeting by the same proportion of votes as on dissolution of the association.
